Wigton Energy Limited (“WIG”) – Resolutions passed at the Annual General Meeting held on October 3, 2025 and Retirement of a Director

Wigton Energy Limited (“WIG” or the “Company”) has advised that at its Annual General Meeting (“AGM”) held in a hybrid manner at the Courtyard by Marriott Kingston, Jamaica, 1 Park Close, Kingston 5 in the parish of Saint Andrew Jamaica and Online on October 3, 2025 the following resolutions were passed:

ORDINARY RESOLUTIONS

  1. “THAT the Audited Financial Statements for the year ended March 31, 2025 and the Reports of the Auditors and Directors thereon be and are hereby adopted.”
  2. “THAT the dividend of J$0.009312 per ordinary share paid on July 29, 2024 be and is hereby ratified and declared final for the year ended March 31, 2025.”
  3. “THAT Allison Philbert, who retires by rotation, be and is hereby re-elected a Director of the Company.”
  4. “THAT Omar Azan, who retires by rotation, be and is hereby re-elected a Director of the Company.”
  5. “THAT Horace Messado, who being appointed by the Board of Directors since the last Annual General Meeting and who thereby now vacates office, be and is hereby elected a Director of the Company.”
  6. “THAT Camille Facey, who being appointed by the Board of Directors since the last Annual General Meeting and who thereby now vacates office, be and is hereby elected a Director of the Company.”
  7. “THAT Tito Sanjurjo be and is hereby elected a Director of the Company notwithstanding that he is over the age of seventy (70) years to serve for a period of two (2) years.”
  8. “THAT the Nominations, Compensation and Human Resources Committee of the Board of Directors is authorized until the conclusion of the next Annual General Meeting to fix the fees of the non-executive Directors.”
  9. “THAT PricewaterhouseCoopers, Chartered Accountants, having agreed to continue in office as Auditors, be and are hereby appointed Auditors for the Company to hold office until the conclusion of the next Annual General Meeting at a remuneration to be fixed by the Directors of the Company.”

WIG has also advised that M. Georgia Gibson Henlin, KC did not offer herself for re-election to the Board of Directors at the referenced AGM and accordingly she has retired as a Director of WIG effective as of the conclusion of the AGM on October 3, 2025.
